BandAMP Productions Agreement (Revised)
Me and BC have thought through this thoughroughly. I hope every one agrees with it.
I'll leave this thread up for a few days before posting it for the members to sign.

II. Terms and Conditions :


As indicated by signature (below) the Artist/Participant:

1.   Agrees to the publishing of his/her song that is included in the above song list on routenote.com and confirms that he/she has read and accepted routenote.com's terms and conditions. http://routenote.com/termsandconditions
2.   Confirms he/she owns the copyright to his/her songs or has received written permission from a joint copyright holder/s to use the provided song on the album entitled “The Amp Volume Two”.  Copyrights to all songs will remain the property of the copyright holder/s, all rights reserved by the copyright holder/s.
3.    Indicates understanding and acceptance that all profits from the album will be divided equally and paid to each artist's/participant's PayPal account (preferred method) or artist's/participant's bank account (artists/participants to pay any Bank transfer fees if applicable) every six months from the official album launch date.
4.     Indicates full acceptance of responsibility for the outcome of his/her participation in the album project entitled "The AMP Volume Two" and thereby frees Bandamp.com, it's membership, administration, agents, ownership and volunteers of any liability for damages that might occur as a result of the signer's participation in the album project entitled "The Amp Volume Two".
5.     Releases BandAmp.com, its membership, agents, volunteers, administration and ownership of any responsibility in administration of the project or the album entitled "The Amp Volume Two".
6.    Indicates understanding and agreement that, if at any time, Denis Ahmet is unable or unwilling to continue the role of administrator for this project, he reserves the right to resign that role, whereby the artists/participants in this project, (the artists/participants who contribute songs to the album entitled "The AMP Volume Two"), may elect among themselves a new administrator.
7.    Indicates understanding and agreement that, if the artists/participants in the Album project entitled "The AMP Volume Two" wish to remove Denis Ahmet from the role of administrator of the project or album, they may reserve the right to do so, based on a majority vote, whereby they will elect a new administrator (also by majority vote) among themselves (the artists/participants who contribute songs to the album entitled "The AMP Volume Two"), to continue administration of the project and the album.
8.    Indicates understanding and acceptance that the participants, based on majority vote, may elect to terminate relationship with routenote.com at any time and thereby choose another distributor, also by majority vote.
9.    Indicates understanding and acceptance that the administration of the album/project entitled “The Amp Volume Two” will be reviewed by the artists/participants annually as follows:
If, on the anniversary of the official launch date the Artists/Participants elect to allow continuance of all operations of the album/project, no action is necessary and thus all operations in support of continued marketing, sales and distribution of payments of the album/project will continue for another year, and yearly thereafter. If, on any anniversary of the launch date the Artists/Participants elect to discontinue all operations of the album/project they must do so by majority vote, with the understanding that all operations in support of continued marketing, sales and distribution of payments will cease at that point.

This one reads a lot better..... a lot less Denis Ahmet (poor persecuted soul) and lot more 'legal' about it.

So we can terminate our own song participation or by majority vote terminate the whole project... yes?
No ! There is no mention in this one of terminating single songs ... or the very threatening "Once your in your in for LIFE ! "
Is the Album uploaded as 'an Album' or as separate tracks called bandAmp Volume two ?
So it is not possible for people to buy one or two tracks? The whole album must be purchased ? yes?
 
All the decisions and choices in this agreement are actually collective decisions and choices? The "once your in your in" is taken for granted now? We all sign to become "share holders"
And if ever anything must change we must get together as the board of share holders and get a majority vote ?

OK! So tracks are separately dowloadable !  But if Takas track is bought more than anyone else how can that be shared equally ! It's not our money, it's yours for costs and the rest is Takas !

OK! So tracks are separately dowloadable !  But if Takas track is bought more than anyone else how can that be shared equally ! It's not our money, it's yours for costs and the rest is Takas !
IIIIEEEEEEEEE !!!! something else to consider - we should probably include that in the agreement as well.....I suspect the individual track purchase needs to go only to the artist who made it.....no?

Yes please excuse my spanner throwing ! There's always one ! You think you have it all sussed and then O! yet another spanner .....

Forget the money.... well, in a sense .... I dont think a single artist will make enough in a normal time scale to call it a profit and become rich from it..... I do think that any money made from all separate tracks and all complete album sales will, together, make a small difference to the next project .... in that any money should be invested in doing it again and better... reaching more people, buying the albums place on iTunes or whatever.

This agreement should be between bandAmp and contributing members, and between contributing members and 'the Administrator of the project' (at the moment it is Denis)(as this agreement tries to explain the administrator could be any elected person).

I dont think Denis should actually be named in the agreement .... he should be named at the top as "the administrator" same as "the site" would be bandAmp, and "the contributing member" would be the member who signs the agreement ..... makes it more official and universal.

I also think the Albums should be an integrated part of the site, the next step after the battle, every 3 months an Album, sell it through the site; "automated process" and on external sites; "project administrators duty".

 
But first of all we need to access the bandAMP account JimK set up connected to the 'donate' button.
Denis, you could send any money made from these projects to that account .... can you contact him? Tell him what's going on and that we need to be able to use that money, see how it goes/grows and then put it to good use.

routenote do not itemize downloads, the only way is to share the profit as stated in the agreement, the only information routenote provide is the sum sold for any given month and top ten tracks. Also, I'm assuming no one has gone to read the terms and conditions of routnote, bottom line is routenote take a 20% cut of the profit, there is a minimum threshold of $50.00 before they pay, hence there are no subscription charges like with Tunecore. Although routenote do have an option of paying an annual subscription with 100% of the royalties. Based on the sales of the last album, I decided to go for the free option, in any event you can change from the free option to the subscription method. You can't ask fairer than that.

I think the agreement is fine, I don't want to change it unless, by majority.

At the end of the day the members by majority vote can terminate the agreement if the unexpected happens.

Let's get the show on the road, we can always change it.

Edit* I'm sure TK said that the donation function does not work, and I believe the money we raised whilst it was working raised about $40.00 was used for something, I could be wrong, but I remember reading this in a thread some time ago.? I've tried contacting JimK in the past, but he never responded, I tried twice I think. We can always set up another donation system, if we do it needs to be managed properly.
